Affiliate Terms

Terms for partners who refer firms to the Meridian platform through our referral and affiliate program.

1. Acceptance and eligibility

These Affiliate Terms apply to anyone who participates in Nova System Inc.'s referral or affiliate program (the "Program"). By submitting a referral or accepting a referral link, you ("Affiliate") agree to these Terms. Eligibility requires that you (a) are at least the age of majority where you live, (b) are not on any sanctions list, (c) are not in a regulated profession whose code prohibits referral compensation in a way that conflicts with these Terms, and (d) comply with all applicable law, including marketing and tax law in your jurisdiction.

2. Referral mechanics

  • You will receive a unique referral link and a portal account to track referrals and earnings.
  • A "Qualifying Referral" occurs when a firm signs up through your link, becomes a paying subscriber, and remains in good standing through any applicable qualification window described in the portal.
  • Referrals from existing customers, former customers within the look-back window, or affiliates of your own group are not Qualifying Referrals unless we say otherwise in writing.
  • Cookie / tracking lifetime, attribution rules, and stacking rules are described in the portal and may change with notice.

3. Compensation

The Program may offer cash payouts, credits, or other rewards as described in the portal. We do not publish public compensation rates in these Terms; current rates are visible to active affiliates in the portal. Payments are made on the schedule described in the portal, subject to tax documentation and a minimum payout threshold. Disputes about earnings must be raised within sixty days of the relevant period.

4. Marketing standards

  • Your marketing must be truthful and not misleading.
  • You must clearly disclose your affiliate relationship in a manner that complies with applicable consumer-protection and disclosure laws (for example, FTC Endorsement Guides, Competition Bureau of Canada guidelines).
  • You must not represent yourself as employed by, partnered with beyond the Program, or speaking for Nova System.
  • You may use Nova System, Meridian, Polaris, Aurora, and related logos only in accordance with the brand guidelines we publish to active affiliates.
  • You must not bid on Nova System, Meridian, Polaris, Aurora, or related branded keywords in paid search, except as expressly permitted in the portal.
  • You must not send unsolicited bulk messages, spam, or messages that violate CASL, CAN-SPAM, or applicable communication laws.
  • You must not use deceptive redirects, cookie stuffing, malware-bundled distribution, or similar tactics.

5. Restrictions

  • You must not refer firms whose use would violate the AUP or applicable law.
  • You must not refer your own firm, an entity you control, or members of your immediate household.
  • You must not generate fraudulent referrals, including by paying referred firms to sign up.
  • You must not use information you learn through the Program for any purpose other than the Program.

6. Independent contractor

You are an independent contractor. The Program does not create an employment, partnership, joint venture, agency, or franchise relationship. You are responsible for your own taxes, expenses, and compliance.

7. Data and privacy

Where you collect personal information from prospects (for example, on a landing page), you are the controller. Comply with the Privacy Policy and applicable privacy law, including by providing the prospect a notice of how their information will be used. Do not share Nova System data you receive through the Program with third parties.

8. Term and termination

The Program continues until terminated. We may suspend or terminate your participation at any time, with or without cause. We may withhold or claw back compensation associated with fraudulent referrals, charge-backs, or refunds. On termination, you must stop using our marks and remove referral links.

9. Changes

We may change the Program, including compensation, attribution, and eligibility, on notice through the portal. Changes do not affect earned, undisputed compensation.

10. Disclaimers and limitation of liability

The Program is provided "as is". Nova System disclaims all warranties relating to the Program. Aggregate liability under these Terms is limited to the greater of (a) compensation paid to you in the twelve months preceding the claim and (b) one hundred Canadian dollars, except for liability that cannot be limited by law.

11. Indemnification

You will defend Nova System against any third-party claim arising from your marketing, your representations about Nova System, your handling of prospect data, or your breach of these Terms.

12. Governing law

British Columbia, Canada. Disputes under the exclusive jurisdiction of the courts of British Columbia, subject to either party's right to seek equitable relief in any court of competent jurisdiction.
