1. Acceptance
These Developer Terms apply when you ("Developer") obtain API credentials, access SDKs, register webhooks, or otherwise build software ("Developer Apps") that interacts with the Meridian platform. By generating credentials, you agree to these Developer Terms together with the Terms of Service, Acceptable Use Policy, and (if you list a Developer App on the marketplace) the Marketplace Terms.
2. Credentials
API credentials are issued to individuals or organizations authorized to act on a firm's behalf. Keep credentials confidential. Rotate them on a reasonable schedule and on suspicion of compromise. We may revoke credentials at any time for abuse, security risk, or violation of these Terms.
3. Authorization model
Developer Apps must operate within the authorization granted by the firm and its users. Use OAuth or similar mechanisms exposed by the platform. Do not store user passwords. Do not request scopes you do not need.
4. Rate limits and fair use
Respect published rate limits. Use back-off on errors. Do not poll where webhooks are available. We may throttle, suspend, or revoke access to Developer Apps that consume disproportionate resources or impair the platform for other customers.
5. Acceptable use
- You must not exfiltrate, mirror, or systematically copy Customer Data.
- You must not use the APIs to build a product that substantially replicates the Meridian platform.
- You must not use the APIs to attempt to derive non-public information about Nova System, including model internals, prompts, or third-party intelligence service providers' identities.
- You must not use the APIs in violation of law or the AUP.
6. Data handling
- Process only the Customer Data necessary to operate the Developer App.
- Apply reasonable administrative, technical, and physical safeguards appropriate to the sensitivity of the data.
- Delete or anonymize Customer Data on the firm's request and on uninstall.
- Do not use Customer Data to train any model that you or a third party operate.
- Honour the firm's privacy obligations, including data-subject requests and incident reporting.
7. Security expectations
- Use TLS for all communications.
- Store credentials and tokens in secure secret-management systems.
- Validate webhook signatures.
- Maintain logging sufficient to investigate incidents.
- Run dependency and vulnerability scanning, and patch promptly.
8. Branding
You may state that your Developer App "integrates with Meridian" or similar truthful statements. You may not use Nova System, Meridian, Polaris, Aurora, or related logos to imply endorsement or partnership beyond what is true.
9. Versions and deprecation
We may update APIs and deprecate versions. We will provide reasonable notice for deprecations material to typical integrations, typically at least one hundred and eighty days for non-security changes. Security-driven changes may take effect sooner with the notice we can reasonably provide.
10. Beta APIs
APIs labelled "beta", "preview", "experimental", or similar may change without notice. They are provided "as is" and are not subject to the Support SLA.
11. Reporting issues
Report security vulnerabilities to security@thenovasystem.com. Report functional defects, breakage, or bugs to devsupport@thenovasystem.com.
12. Intellectual property
You retain ownership of your Developer App. We retain all rights to the APIs, SDKs, documentation, and platform. We may use your feedback to improve the platform.
13. Indemnification
You will defend Nova System against third-party claims arising from your Developer App, your use of the APIs, or your handling of Customer Data.
14. Termination
We may suspend or terminate your access at any time for breach of these Terms or to protect the platform. Either party may terminate without cause on thirty days' notice. Sections that by their nature should survive will survive termination.
15. Disclaimers and limitation of liability
The APIs and SDKs are provided "as is" and "as available". The limitation-of-liability provisions of the Terms of Service apply.
16. Governing law
British Columbia, Canada. Disputes under the exclusive jurisdiction of the courts of British Columbia, subject to either party's right to seek equitable relief in any court of competent jurisdiction.
17. Changes
We may update these Terms from time to time. Material changes will be communicated through the developer portal and by email.
