1. What this covers
Certain features of the Meridian platform — for example, drafting assistance, summarization, classification, extraction, recommendation, search ranking, content discovery, document understanding, voice transcription, and chat assistant — are powered by third-party intelligent service providers ("TPIS"). These Terms ("TPIS Terms") describe how you may use those features, what limitations apply to their output, and how we treat the information you submit through them. They supplement the Master Subscription Agreement, the Terms of Service, and the Acceptable Use Policy.
2. Nature of the output
2.1 Probabilistic, not authoritative
TPIS output is generated by statistical models that produce results based on patterns in training data and the inputs you provide. Output can be incomplete, outdated, inaccurate, biased, or otherwise inappropriate for the task. Output is not legal advice, immigration advice, accounting advice, medical advice, or professional advice of any kind.
2.2 Human review is mandatory
You must review every TPIS-generated output before relying on it, presenting it to a Firm Client, sending it to a government authority, including it in a tribunal or court filing, or otherwise acting on it. The Firm — and the licensed professional responsible for the matter — bears full responsibility for the accuracy and quality of work product, regardless of whether TPIS features assisted in generating it.
2.3 No automated decisions about Firm Clients
You must not use TPIS features alone to make decisions about a Firm Client that produce significant legal effects or similarly significant effects. Decisions about advice, strategy, eligibility, fees, retention, or termination must involve meaningful human judgement by a qualified person.
3. Acceptable use of TPIS features
You must not use TPIS features to:
- Generate content that is unlawful, infringes intellectual property or privacy rights, or that violates the AUP.
- Attempt to "jailbreak", manipulate, or trick the assistant into producing unsafe, deceptive, hateful, sexually explicit, or harassing content.
- Generate or distribute disinformation, including impersonation of public officials, judges, or regulators.
- Probe or test the underlying models, capacity, prompts, or system instructions, or attempt to extract them.
- Use output as a substitute for required professional judgement or for required human review when interacting with regulators, tribunals, or courts.
- Submit data that you do not have the right to submit, including third-party data without lawful basis.
- Train, fine-tune, or improve any model that you or a third party operate using output of the Service, except as expressly permitted in writing.
4. Your inputs and our handling
4.1 Inputs and outputs
"Inputs" means the prompts, documents, messages, and other data you submit to TPIS features. "Outputs" means the responses generated. As between you and Nova System, Inputs are Customer Data and Outputs are Customer Data once delivered to your account. Ownership is governed by the MSA.
4.2 No model training on your data
We do not use Customer Data, Inputs, or Outputs to train, fine-tune, or otherwise improve any model that we or our TPIS providers operate, except (a) where you have given explicit opt-in consent, or (b) where data has been irreversibly de-identified and aggregated such that it cannot identify any Data Subject. By default, your data is not used for training.
4.3 Provider terms flow-down
Our TPIS providers impose acceptable-use restrictions on us. You agree that, when you use TPIS features, your use also complies with those restrictions (which mirror those in the AUP). Where a provider's restrictions are stricter than the AUP, the stricter restriction governs.
4.4 Retention
Inputs and Outputs are stored in your Meridian account in accordance with the retention practices described in the MSA and Privacy Policy. Where a TPIS provider also retains data for a short abuse-prevention or operational period, that retention is governed by our agreement with the provider.
5. Availability and changes
TPIS features depend on third parties. We may change, replace, suspend, or discontinue a TPIS feature at any time without notice, including in response to provider changes, regulatory developments, or safety considerations. TPIS features may be temporarily unavailable due to provider incidents; these incidents are not breaches of the Support SLA unless the SLA expressly says so.
6. Disclosure obligations to Firm Clients
The Firm is responsible for making appropriate disclosures to its Firm Clients about the use of TPIS features in the Firm's practice, consistent with the codes of professional conduct that apply to the Firm's regulated professionals. The Third-Party Chat Disclosure page describes the disclosures we present to public visitors who interact with the Island Bar assistant. The Firm is responsible for any additional disclosures appropriate for one-to-one client relationships.
7. Restricted use cases
TPIS features must not be used to (a) determine eligibility for credit, insurance, housing, employment, or government benefits, (b) make decisions that have legal or similarly significant effects on any person without meaningful human review, (c) infer protected characteristics about identifiable individuals, (d) generate biometric identifiers, or (e) operate in a manner inconsistent with applicable AI safety, transparency, or governance laws.
8. Intellectual property in Outputs
Subject to your compliance with these TPIS Terms and the MSA, we do not claim ownership of Outputs delivered to your account. You should be aware that Outputs may not be original, may be generated for other customers in similar form, may include factual statements that are wrong, and may include passages that resemble third-party works. You are responsible for verifying that any reuse of Outputs complies with intellectual property and other laws.
9. Disclaimers
To the fullest extent permitted by law, TPIS features are provided "as is" and "as available", and Nova System disclaims all warranties relating to them, including accuracy, completeness, fitness for a particular purpose, non-infringement, and merchantability. The disclaimers and limitations in the MSA apply.
10. Indemnification
You will defend, indemnify, and hold harmless Nova System and our TPIS providers against any third-party claim arising from (a) your Inputs, (b) your reliance on Outputs without required human review, (c) your use of TPIS features in breach of these Terms or the AUP, or (d) decisions about Firm Clients made without meaningful human review.
11. Changes
We may update these TPIS Terms as we add features, replace providers, or in response to regulatory changes. Material changes will be communicated as set out in the MSA.
